Bizwerks provides custom software development services, including but not limited to:

• Software consulting and architecture design
• System integration services

3. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project requirements
• Timely feedback and approval of deliverables
• Payment of agreed fees according to the contract terms
• Providing necessary access to systems and data as required
• Compliance with applicable laws and regulations

4. Intellectual Property

Upon full payment, clients will own the custom software developed specifically for their project. However, Bizwerks retains ownership of:

• Pre-existing intellectual property and frameworks
• General methodologies and know-how
• Reusable components and libraries developed by Bizwerks

5. Limitation of Liability

Bizwerks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

6. Confidentiality

Bizwerks agrees to maintain the confidentiality of all client information and will not disclose any proprietary or confidential information to third parties without written consent, except as required by law.

7. Termination

Either party may terminate the service agreement with written notice. Upon termination, all outstanding payments become due immediately, and each party will return or destroy confidential information.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.
